General Conditions of supply and installation

1. Unless otherwise agreed in writing by M&K Property Services these conditions which supersede any earlier sets of conditions appearing in M&K Property Services’s catalogues or elsewhere shall override any terms or conditions stipulated, incorporated or referred to by the customer whether in the order or in any negotiations not withstanding any stipulation to the contrary. Materials and goods delivered to the job or site will remain our property until they are either fixed or paid for by the customer who will be responsible for their safe custody and for all loss or damage until the contract is completed. All surplus materials are the Company’s property and will be removed from site on completion.

Quotations

2. No quotations given by M&K Property Services for the supply of goods or for the supply of services shall constitute an offer, and M&K Property Services hereby reserves the absolute right to withdraw and amend any such quotation until such time as M&K Property Services has accepted the order of the customer. All quotations are valid for 30 days only.

Orders

3. All orders shall be in writing and shall give sufficient details to enable M&K Property Services to identify any relevant quotation, and in particular quote all reference numbers. Any special requirements of the customer must be clearly indicated. Acceptance of any order or of any variation of an order which may be made by
telephone, fax, and telex will be conditional upon its being confirmed in writing by the customer within seven days.

Specifications

4. M&K Property Services hereby reserves the right to substitute the goods of one manufacturer for goods of another but of the same fitness quality and specification, notwithstanding that the goods of one manufacturer only are quoted in the accepted order.

Liability

5. M&K Property Services shall not be liable for any personal injury or death, however caused, arising from the supply of goods or services except where such injury or death is shown to result from the negligence of M&K Property Services or its employees or agents.
6. Save as provided in numbered paragraphs 7 and 8 below, M&K Property Services shall not be liable for any damage, injury or loss of any kind whatsoever to the property of any person, howsoever caused, arising during or out of the supply of services or the supply or installation of goods by M&K Property Services.
7. M&K Property Services shall not be liable for any defects in workmanship, for any delay or for any other shortcomings in the services supplied by M&K Property Services to the customer except, in the case of defects in workmanship only, if it is shown that such defects were the direct result of negligence on the part of M&K Property Services. In any event, the liability of M&K Property Services shall not exceed the cost of remedying the defects in workmanship and M&K Property Services shall not be liable for any loss consequent upon such defects.
8. (a) In relation to any goods supplied to the customer M&K Property Services gives no warranties and is bound by no conditions, whether as to the quality, fitness, description or specification or otherwise howsoever save so far as such warranties are implied by statute may not be excluded.
(b) The customer shall notify M&K Property Services forthwith in writing upon the discovery of any defect in any goods supplied to the customer.
(c) The maximum liability of M&K Property Services (including liability for works necessary to replace any other consequential loss) in respect of any breach of any warranty or condition shall not exceed one and a half times the price (at the date of acceptance of the customer’s order) of the defective item.
(d) Provided the customer shall have notified M&K Property Services as required by sub-paragraph (b) above, M&K Property Services will at the request and cost of the customer pass on to the customer the benefit of the guarantee (if any) which M&K Property Services may have received from the supplier of the goods in question.
9. Any statements, oral or written, made prior to the acceptance of the customer’s order as to the specification or performance of any equipment, any savings of energy likely to result from any installation and the time within which any installation may be completed, are to be regarded as estimates only and do not form part of any contract between M&K Property Services and the customer.
